Zuckerberg Threatens California Exit as Meta Offers Shares Amid Billionaire Tax

Meta Platforms has reached an agreement with its chief executive, Mark Zuckerberg, after he reportedly considered leaving California over a proposed tax targeting the state’s billionaires.

Under the arrangement announced on Wednesday, Meta plans to grant Zuckerberg non-voting shares to cover a potential multibillion-dollar tax liability if California voters approve the proposed wealth tax.

In return, Zuckerberg has committed to remaining a resident of California, or wherever Meta maintains its headquarters, for eight years.

The development follows concerns that California’s proposed Proposition 40 could significantly increase the tax burden on the state’s wealthiest residents.

Zuckerberg, whose fortune is estimated at approximately $240 billion, reportedly informed Meta that he was considering relocating his primary residence outside California in response to the proposed legislation.

The measure, described as the California wealth tax, seeks to introduce a one-time five per cent tax on billionaires living in the state.

California is home to approximately 250 billionaires whose combined wealth exceeds $2 trillion. However, the proposal still requires voters’ approval, and its passage remains uncertain.

Under the agreement, Zuckerberg will be allowed to sell 20 per cent of the Class C shares allocated to him immediately.

The shares represent 10 per cent of his overall economic stake and would provide funds to settle potential tax obligations without requiring him to surrender his voting control of the company.

Meta also plans to introduce a new class of non-voting Class C common stock in January 2027. The proposed two-for-one stock split is intended to support strategic acquisitions and help the company retain key employees while preserving Zuckerberg’s control over its operations.

The agreement comes as Meta prepares to invest heavily in artificial intelligence, an increasingly competitive sector that requires substantial financial resources.

Company filings indicate that the technology giant could need to raise hundreds of billions of dollars over several years to finance its planned expansion, with fundraising expected to begin as early as autumn 2026.

A special committee of Meta’s board reportedly concluded that retaining Zuckerberg’s leadership was critically important to the company’s future, citing unprecedented challenges and competition across the technology industry.

The arrangement highlights the potential implications of California’s proposed billionaire tax for wealthy executives and major technology companies headquartered in the state.
